How boards can use the new review requirement to strengthen governance effectiveness.
Registered charities are now required to review their governance procedures at least once every three years, with existing charities expected to complete their first review by October 2026.
For boards, this is not simply a matter of checking the trust deed or confirming that policies exist. The review must consider whether the charity’s governance procedures are fit for purpose, assist it to achieve its charitable purposes and support compliance with the Charities Act. It also needs to look at how governance works in practice, including decision-making, delegations and record keeping.
Done well, the review is also an opportunity to identify outdated arrangements, unclear responsibilities or board practices that may be limiting effectiveness.
This webinar will bring together experienced not-for-profit directors to discuss what should be reviewed, how boards can take a proportionate approach, and what evidence should be retained. It will also explore how boards can look beyond formal documents to test whether governance arrangements are understood, current and working effectively in practice.
The session will also introduce the IoD’s new practice guide, developed to help trustees structure the review, identify meaningful improvements and follow through on agreed actions.
Hosted through the IoD’s Not-for-Profit Shared Interest Group, and facilitated by Principal Governance Adviser Judene Edgar, this webinar will help boards of registered charities use the requirement to strengthen governance effectiveness and meet their legal obligations in a meaningful, proportionate way.

Sam is a senior public sector leader, director, tribunal member and lawyer. He is currently Group Manager – Organisational Performance & Innovation at Rotorua Lakes Council, where he leads strategy, governance, performance reporting, communications, legal services and organisational transformation.
Sam is Chair of the Bay of Plenty Branch Committee of the Institute of Directors and sits on the IoD National Council, with a strong focus on developing emerging governance talent. He previously served as Deputy Chair of the Bay of Plenty Rugby Union and continues to be heavily involved in sport and not for profit governance as a member of the New Zealand Sports Tribunal, New Zealand Rugby Judiciary, Momenta Charitable Trust and a Trustee a Sport Bay of Plenty.
His governance roles span the small business, not‑for‑profit, education and sporting sectors, and he is a passionate advocate for practical, values‑led governance.
CMInstD
Judene is a Principal Governance Adviser with the Institute of Directors’ Governance Leadership Centre and Chapter Zero NZ lead providing best practice advice, guidance and advocacy for directors. She is also Chair of the Nelson Historic Theatre Trust, Deputy Chair of the Rātā Foundation, a trustee of Network Tasman Trust, a member of the Energy Trusts of New Zealand Executive Committee, and a Council member of the New Zealand Society of Actuaries.
Prior to joining the IoD she ran her own consultancy for over 20 years, specialising in governance, policy, strategy and communications working across a wide range of sectors, including housing, health, solid waste, aviation, energy, not-for-profit and infrastructure.
Judene was made a Member of the New Zealand Order of Merit for services to governance, local government and the community in the 2026 New Year Honours. She was a local government elected member for 12 years and a director on a range of private and public entity boards. She has a background in behavioural science and communications and is a Chartered Member of the IoD.
