Should not-for-profit directors be paid? And if they are, how much is fair?
For many NFP boards, remuneration can be one of the most uncomfortable conversations to have. Directors may be discussing their own fees, while also weighing purpose, affordability, workload, stakeholder expectations and the organisation’s reliance on members, funders, donors or the community.
There is no single right answer. For some organisations, unpaid governance remains appropriate. For others, increasing complexity, time commitment or the need to attract a broader range of skills and experience may prompt a different conversation.
This webinar will look beyond the numbers to explore how boards can approach that discussion thoughtfully and transparently. We’ll consider when remuneration should be reviewed, what problem the board is trying to solve, how benchmarking can inform rather than determine the outcome, and how to navigate differing views around the board table and with staff, members and other stakeholders.
We’ll also share new not-for-profit findings from the 2026 IoD Director Fees Survey, including what the data tells us about time commitment, paid and unpaid roles, and the gap between NFP and other governance remuneration.
The aim is to help boards have a fair, informed and defensible conversation about what is right for the organisation.

Judene is a Principal Governance Adviser with the Institute of Directors’ Governance Leadership Centre and Chapter Zero NZ lead providing best practice advice, guidance and advocacy for directors. She is also Chair of the Nelson Historic Theatre Trust, a trustee of Network Tasman Trust, a member of the Energy Trusts of New Zealand Executive Committee, and a Council member of the New Zealand Society of Actuaries.
Prior to joining the IoD she ran her own consultancy for over 20 years, specialising in governance, policy, strategy and communications working across a wide range of sectors, including housing, health, solid waste, aviation, energy, not-for-profit and infrastructure.
Judene was made a Member of the New Zealand Order of Merit for services to governance, local government and the community in the 2026 New Year Honours. She was a local government elected member for 12 years and a director on a range of private and public entity boards. She has a background in behavioural science and communications and is a Chartered Member of the IoD.

Herman Visagie is an experienced executive level General Counsel, Company Secretary, and seasoned governor. He is passionate about the power of good governance and effective relationships between boards and management teams to help organisations achieve their desired outcomes more effectively.
Herman is currently Chief Executive Officer of Telecommunications Dispute Resolution Limited and has previously held executive roles at the Real Estate Authority and TSB. He holds board roles in the not- for-profit and regulatory sectors and has led a number of consultant engagements around governance improvement, including reviews of governance documentation, operations, and board reporting. He also provides training and education to senior leaders around effective board engagement.
