How should boards respond appropriately when a CEO's conduct raises concerns?
One of the board’s most important responsibilities is overseeing the CEO. While performance management is well established, governing CEO conduct can be far more complex.
How should boards respond when concerns arise about a CEO’s behaviour? What responsibilities do directors and chairs have when conduct issues create risks to organisational culture, reputation, stakeholder trust or long-term performance?
Join Herman Visagie MInstD, General Manager of the IoD’s Governance Leadership Centre, in conversation with Sarah von Dadelszen MInstD for an engaging discussion on one of governance’s most challenging issues. Drawing on his experience as a governance advisor, company secretary, executive leader and director, Herman will explore why CEO conduct is a governance issue, how it influences culture and organisational performance, practical ways to identify and address concerns before they escalate, and what these issues mean for directors.

Herman Visagie is an experienced executive level General Counsel, Company Secretary, and seasoned governor. He is passionate about the power of good governance and effective relationships between boards and management teams to help organisations achieve their desired outcomes more effectively.
Herman is currently General Manager, Governance Leadership Centre at the Institute of Directors. His previous roles have included Chief Executive Officer of Telecommunications Dispute Resolution Limited, and executive roles at the Real Estate Authority and TSB. He has held board roles in the not- for-profit and regulatory sectors and has led a number of consultant engagements around governance improvement, including reviews of governance documentation, operations, and board reporting. He also provides training and education to senior leaders around effective board engagement.
MInstD
Sarah has a background in financial services and farm consultancy, followed by over 20 years of governance experience primarily in the agriculture and electricity sectors. She is currently Chair of FMG Insurance; her other current director roles include Centralines Limited, and Assistance dogs NZ. Some previous roles include Ballance Agri-Nutrients, Chair of the NZ Beef Council, Fonterra Shareholder Councillor, and AGMARDT Trustee.
Sarah is involved in Sheep, Beef and Dairy farming with her husband in Central Hawke's Bay.
Sarah has completed several governance courses including the INSEAD international directors programme in France and Singapore, NZ leaders programme at Stanford University, the IOD directors programme and ongoing training in AI, Climate change, and other governance-related topics. Sarah is a member of the IOD and INFINZ.
