The transition to a low-emissions energy system is underway in New Zealand and will reshape the operating environment for organisations across the economy.
For boards, the energy transition raises important questions about organisational resilience, long-term competitiveness, capital allocation, and the security and cost of energy supply.
Energy is a critical input for most organisations. As the energy system evolves, through electrification, changing fuel sources, new technologies and infrastructure investment, boards will need to consider how these changes affect their organisation’s strategy, operations and risk profile.
This webinar will explore the governance implications of the energy transition and what effective board oversight looks like in practice.
Bringing together perspectives from David Smol (Contact Energy), Jason Franklin (PowerCo), Paul Goodeve (Clarus) and Marcos Pelenur (EECA), the discussion will examine how energy transition is appearing in boardroom conversations and how boards can navigate the associated risks and opportunities.
Topics to be explored include:
The session will help directors understand how the transition may affect organisations beyond the energy sector. Participants will gain insight into the evolving energy landscape in Aotearoa New Zealand, and the governance questions boards should be asking as the transition accelerates.
Dr Marcos Pelenur became Chief Executive of EECA in September 2023. Previously he worked for the Behaviour Insights Team in Ottawa, Canada and several policy leadership positions at MBIE. Marcos has a PhD in Engineering from the University of Cambridge, is a Chartered Professional Member of Engineering New Zealand and is registered as a Chartered Engineer with the UK Institution of Engineering and Technology (IET).

Jason is our Chief Executive, leading the Powerco whānau to deliver on our commitments to customers and wider stakeholders. He joined Powerco in April 2025, after leading PowerNet Limited, a role he held since 2012.
Prior to PowerNet, Jason had a 14-year career in the Rio Tinto group working in New Zealand, the United Kingdom and Australia. He began his career at the Electricity Corporation of New Zealand.
Jason has previously served as a board member of the Electricity Networks Association, the Executive Committee of the Major Electricity Users Group and the Wholesale Advisory Group for the Electricity Authority. He is a director of SBS Bank Limited, Great South and has also been a director of Invercargill Airport and chair and director of Rugby Southland.

Paul has been Chief Executive of Clarus (formerly Firstgas Group) since 2016, leading the organisation through significant growth in both regulated and non‑regulated energy infrastructure. He has overseen the implementation of Clarus’ strategic business plan and advanced several renewable energy initiatives. Paul played a key role in major acquisitions, including Firstlight Network in 2022 and Rockgas and the Ahuroa gas storage facility in 2018. His leadership contributed to Clarus achieving a Baa2 Moody’s credit rating in 2020 and completing a NZ$610M US private placement that was 6.5x oversubscribed and one of the largest such transactions for a New Zealand issuer.
Before joining Clarus, Paul spent 12 years at Powerco in regulatory, legal, pricing, commercial and operational roles. He is a Chartered Accountant, Barrister and Solicitor, and a member of the Institute of Directors. He also serves on the boards of the Gas Industry Company, Ara Ake, and the Business Leaders’ Health and Safety Forum.

David Smol has over 40 years of work experience, including in the energy sector in the UK and New Zealand, for Conoco UK Limited, Electricity Corporation and as a consultant. He was part of the Contact Energy establishment team in 1995-1996 and a member of the team that developed the rules for the New Zealand electricity market.
David is currently a director of Contact Energy, Chair of the Earth Science Institute, a board member of Co-operative Bank Limited, Waka Kotahi NZ Transport Agency and Tait Communications and a member of the Council for Victoria University of Wellington.
In 2008 David was appointed as chief executive of Ministry of Economic Development and, from 2012-2017 was the inaugural chief executive of the Ministry of Business, Innovation and Employment (MBIE), following the merger of four government departments. David has an M-Phil in economics from Cambridge University and was made a Companion of the Queen’s Service Order in 2018.

Judene is a Principal Governance Adviser with the Institute of Directors’ Governance Leadership Centre and Chapter Zero NZ lead providing best practice advice, guidance and advocacy for directors. She is also chair of the Nelson Historic Theatre Trust, deputy chair of the Rātā Foundation, and a trustee for the Network Tasman Trust.
Prior to joining the IoD she ran her own consultancy for over 20 years, specialising in governance, policy, strategy and communications working across a wide range of sectors, including housing, health, solid waste, aviation, energy, not-for-profit and infrastructure.
Judene was made a Member of the New Zealand Order of Merit for services to governance, local government and the community in the 2026 New Year Honours. She was a local government elected member for 12 years and a director on a range of private and public entity boards. She has a background in behavioural science and communications and is a Chartered Member of the IoD.
