Overview

While being the “first among equals” with other board members, a chair is not “the boss” – their role is one of influence not authority. The role of the chair has never been more critical in shaping the success of boards and the organisations they serve.

With increasing complexity in governance, stakeholder expectations, and a rapidly changing national and global landscape, the chair must act as a steward a governance, a strategic leader and a consensus-builder, fostering collaboration while driving effective decision-making.

This event delves into the evolving role of the chair, highlighting the unique qualities and practices that foster boardroom success. Gain insights on balancing influence with facilitation, managing board dynamics, leading in times of crisis, and building strong CEO-chair partnerships. Key topics include governance challenges, inclusive leadership, leading for the long-term, and future-proofing boards through succession planning and mentorship.

Being Ngāi Tahu, Jane affiliates to Ngāi Tūāhuriri and is involved at her Tuahiwi Marae in North Canterbury. Jane is a Distinguished Fellow of the IoD and in 2012 she was awarded a Companion of the NZ Order of Merit for her services to governance.

With a commercial background in law, insurance broking, financial markets, and market research, Jane has found her diverse experience useful in her board roles over 30 years in the commercial, Crown, Iwi, and not-for-profit sectors. Having also taught and consulted in governance throughout New Zealand and internationally, she greatly values the opportunities that a governance career has brought – leadership opportunities for positive outcomes through working with excellent people with shared purpose.

Mark Todd

CFInstD

Mark is the current Chair of the NZ Lotteries Commission, and he has several other Board appointments, both past and current, with national organisations where technology change has been a core enabler (or not!) to delivery of strategy objectives. These include the City Care Group, Dairy NZ, Paper Plus, and OSPRI.  

Prior to his governance career, Mark was a senior Executive, primarily as CFO and COO, with Kathmandu Holdings (now KMD Brands). His experience throughout most of his 17 years at Kathmandu shaped his commitment to ongoing investment in technology as core to sustaining an organisation’s best-in-class service delivery and underpinning effective customer engagement.   

Mark has been involved in active oversight as both an executive and Board member of multi-year technology programmes and does not hesitate to champion investment in technology done well around the Board table, with effective governance oversight being critical to successful execution. 

Bruce Irvine  (facilitator)

CFInstD

Bruce is a chartered accountant and was admitted into the Christchurch partnership of Deloitte in 1988. He was Managing Partner from 1995 to 2007, before retiring in May 2008 to pursue his career as an independent director.

He is chair and an independent non-executive director for Heartland Bank (New Zealand), and an independent non-executive director for Heartland Bank (Australia). Bruce is also a director of several public and private companies, including House of Travel Holdings Limited, Market Gardeners Limited, Scenic Hotels Limited, and Skope Industries Limited. Bruce is involved in a voluntary capacity as a trustee of the Christchurch Symphony Orchestra Foundation.

Bruce is a Chartered Fellow of the Institute of Directors.
