Overview

As boards pursue growth in a complex operating environment, directors are expected to exercise sound judgement amid increasing regulatory scrutiny, litigation risk, public expectations and political sensitivity. Sponsored by Dentons, this After 5 Directors’ Deep Dive will explore how directors’ duties are evolving and what good governance looks like when decisions are made under uncertainty or when outcomes do not unfold as planned.

Drawing on practical examples and case studies from New Zealand and Australia, Hayden Wilson, Global Vice Chair of Dentons, Chair of Dentons in New Zealand and Partner in the firm’s Dispute Resolution and Public Law team, will examine how courts and regulators assess director decision-making when growth opportunities carry heightened risk.  Attendees will leave with practical insights and key questions boards should be asking management as they balance growth, directors’ duties, oversight responsibilities and stakeholder expectations.

Hayden Wilson

Hayden Wilson is Global Vice Chair of Dentons and the Chair of Dentons in New Zealand. He plays a key role in the firm’s key relationships and is a Partner in the firm’s Dispute Resolution and Public Law team, specialising in public, regulatory, and commercial litigation. 

As a specialist in dispute resolution and crisis management, Hayden regularly works with clients to navigate complex disputes, regulatory investigations, and cross-border issues. Hayden has a particular focus on assisting clients with issues that have a political dimension. 

In addition to his governance roles with Dentons, Hayden is a Board member of Tika, a technology enabled legal service for people who have experienced sexual harm.
