Governance procedure reviews: a practical guide for charities

Registered charities must review their governance procedures at least once every three years. While the process can be scaled to suit the charity’s size and complexity, boards still need to consider whether their governance arrangements are fit for purpose, support the charity’s purposes and assist compliance with the Charities Act.

This practical guide helps trustees undertake a meaningful and proportionate review. Drawing on the IoD’s Four Pillars of Governance Best Practice, it covers what should be reviewed, the questions boards should ask, how to test whether governance arrangements work in practice, what evidence to retain and how to follow through on any actions identified. It also includes a simple review process and example resolution wording to help boards meet the requirement while strengthening governance effectiveness.
