Explore the governance, due diligence and accountability lessons arising from the Ports of Auckland case.
The recent High Court decision in the Ports of Auckland case has captured the attention of directors across New Zealand, reinforcing the importance of due diligence and effective health and safety governance.
Join Brian Nathan, Partner, and Sean Brennan, Senior Associate, at Duncan Cotterill as they examine the decision, which upheld a conviction and sentence for failing to exercise due diligence as an officer under the Health and Safety at Work Act 2015.
Brian and Sean will unpack the key findings from the case and explore the implications for directors and boards. They will discuss officers' duties, board oversight of health and safety risks, and the practical governance lessons that can help directors strengthen accountability and decision making.
With increasing scrutiny of governance practices and growing awareness of conflict of interests, this session will provide valuable insights for directors seeking to better understand their responsibilities and lead with confidence.

Brian has significant expertise in commercial litigation and dispute resolution, with a particular interest in health and safety, medico-legal, and maritime issues. Leading the Nelson office litigation and dispute resolution team, he works with a wide range of clients, including private clients, SMEs, large corporates, and Crown Entities across the region’s key industries.
Brian advises on commercial disputes involving property and construction, IT, directors and shareholders, and trusts and estates. He has also been involved in cross-border litigation relating to maritime and intellectual property matters.
Frequently engaged during due diligence and contract negotiations, Brian provides strategic advice on legal risks, as well as risk management guidance at termination stages. He has appeared in all New Zealand courts, the Employment Relations Authority, and Coroner’s inquests.
Brian has managed a large employment law practice, acting for many of the region’s largest employers and Crown Entities, and has served as a mediator for employment and governance disputes, as well as an independent investigator.
Sean is a litigator and dispute resolution lawyer. He has a particular focus on commercial disputes and regulatory criminal matters.
He has acted on a range of disputes and advised private clients in matters involving criminal law, contract law, judicial review, tort, professional discipline, and WorkSafe and Council investigations. Sean has particular expertise in WorkSafe and Council regulatory investigations and prosecutions.
Sean has regularly appeared in the District Court, High Court and Court of Appeal on behalf of clients. Before joining Duncan Cotterill, he worked as a Crown Prosecutor, appearing and advising on all aspects of the criminal justice process.
