Overview

NZX is consulting on a tiered compliance framework for smaller listed issuers. Companies with an average market capitalisation of $125 million or less could elect SME Issuer status and use modified governance settings.

The proposals are intended to reduce costs and give smaller issuers greater flexibility while maintaining fair, orderly and transparent markets. They also change several of the checks through which boards, independent directors and shareholders oversee listed companies. What would the framework mean in the boardroom, and do the proposed protections match the risks of smaller and often more concentrated issuers?

Join Kristin Brandon, Head of Policy and Regulatory Affairs at NZX, for a discussion on why NZX is proposing tiered compliance, how the framework has been designed and what it could mean for directors, boards and shareholders. Facilitated by Susan Cuthbert, Principal Advisor in the Governance Leadership Centre, the session will combine a presentation, moderated discussion and audience Q&A. Submissions on the consultation close on Friday, 28 August 2026.

Kristin Brandon

Kristin joined NZX in 2007 and is responsible for leading the development of NZX’s market rules, and managing NZX’s regulatory relationships. Kristin has extensive experience in financial services law, having previously worked in legal roles in corporate and commercial, and financial services teams at DLA Piper and Chapman Tripp in New Zealand, and Dechert LLP in London. Kristin holds an LLB (Hons) and BCA (accounting major) from Victoria University in Wellington.
