Overview

NZX is consulting on proposals to introduce dual-class share structures for eligible new listings on the NZX Main Board. The proposals are intended to support more companies to access public capital while allowing founders to retain greater voting control after listing, alongside governance safeguards designed to maintain investor confidence.

What could these changes mean for directors? Do the proposed guardrails strike the right balance between strengthening New Zealand's capital markets and maintaining effective governance, accountability and board independence?

Join Kristin Brandon, Head of Policy and Regulatory Affairs at NZX, for a discussion on the policy rationale behind the proposals, the governance framework that underpins them, and their practical implications for directors and listed companies. Facilitated by Susan Cuthbert, Principal Advisor in the Governance Leadership Centre, the session will include a moderated discussion and extended audience Q&A, providing attendees with an opportunity to engage directly with NZX and explore the consultation from a governance perspective.

Kristin Brandon

Kristin joined NZX in 2007 and is responsible for leading the development of NZX’s market rules, and managing NZX’s regulatory relationships. Kristin has extensive experience in financial services law, having previously worked in legal roles in corporate and commercial, and financial services teams at DLA Piper and Chapman Tripp in New Zealand, and Dechert LLP in London. Kristin holds an LLB (Hons) and BCA (accounting major) from Victoria University in Wellington.
