Overview

Director remuneration remains one of the most closely watched aspects of governance. It reflects the time, capability, responsibility and risk expected of directors, and the value organisations and stakeholders place on effective board leadership.

Join us as we explore the findings of the IoD Directors’ Fees Report 2026/27, New Zealand’s leading benchmark on governance remuneration.

The discussion will examine what this year’s data tells us about movements in director and chair fees, whether remuneration is keeping pace with board workload and expectations, and how fee-setting practices are changing across different types and sizes of organisations.

We will also look beyond the headline figures to consider the governance questions behind them: how boards determine what is fair and fit for purpose, how committee and additional duties are recognised, where fee pressure is most evident, and what the findings mean for attracting and retaining capable directors.

 With perspectives from the boardroom and remuneration advisory practice, the session will provide practical guidance for boards reviewing their approach to director fees.

Una Diver

MInstD

Una Diver is a Partner at Ernst & Young (EY) and leads their Reward practice.  She has led the team that partners with the IoD to produce the Director Fees Survey since 2011.  As a pre-eminent specialist in remuneration and reward for employees and executives, Una provides data and advice to Boards, executives and people teams across a variety of industries.  She has worked with Boards to review and develop fee structures across the private, public and not for profit sectors.  

Una has governance experience in the charitable sector, across housing and social services.  She currently serves on the Board of Mercy Hospice, Te Korowai Atawhai.

Judene Edgar

CMInstD

​​Judene is a Principal Governance Adviser with the Institute of Directors’ Governance Leadership Centre and Chapter Zero NZ lead providing best practice advice, guidance and advocacy for directors. She is also Chair of the Nelson Historic Theatre Trust, Deputy Chair of the Rātā Foundation, a trustee of Network Tasman Trust, a member of the Energy Trusts of New Zealand Executive Committee, and a Council member of the New Zealand Society of Actuaries. 

​Prior to joining the IoD she ran her own consultancy for over 20 years, specialising in governance, policy, strategy and communications working across a wide range of sectors, including housing, health, solid waste, aviation, energy, not-for-profit and infrastructure.  

​Judene was made a Member of the New Zealand Order of Merit for services to governance, local government and the community in the 2026 New Year Honours. She was a local government elected member for 12 years and a director on a range of private and public entity boards. She has a background in behavioural science and communications and is a Chartered Member of the IoD. ​ 

Herman Visage

Herman Visagie is an experienced executive level General Counsel, Company Secretary, and seasoned governor. He is passionate about the power of good governance and effective relationships between boards and management teams to help organisations achieve their desired outcomes more effectively. 

Herman is currently Chief Executive Officer of Telecommunications Dispute Resolution Limited and has previously held executive roles at the Real Estate Authority and TSB. He holds board roles in the not- for-profit and regulatory sectors and has led a number of consultant engagements around governance improvement, including reviews of governance documentation, operations, and board reporting. He also provides training and education to senior leaders around effective board engagement.
