Join us for lunch with Duncan Cotterill Partners Brian Nathan MInstD and Nick Laing MInstD on managing conflicts of interest in governance.
Conflicts of interest are everywhere. Brian and Nick will explore the critical topic of identifying and managing conflicts of interest in the context of corporate governance.
Drawing on their extensive experience, they will unpack directors’ duties under the Companies Act 1993 and the common law fiduciary obligations that underpin responsible decision-making in boardrooms across Aotearoa.
The session will cover practical strategies for recognising potential conflicts early, the importance of timely and ongoing disclosure, and the mechanisms available to manage or mitigate the risks of governing when in a conflict of interest. Using recent case examples, the presenters will illustrate how courts have approached conflicts in practice, highlighting both pitfalls and best practice.
This lunch session is designed to equip directors, trustees and governance professionals with insights to strengthen their conflict management frameworks and maintain the integrity of their governance processes.
MInstD
Brian has significant expertise in commercial litigation and dispute resolution with a particular interest in health and safety, medico-legal and maritime issues. Leading the Nelson office litigation and dispute resolution team, he works with a wide range of clients including private individuals, SMEs, large corporates and Crown entities in the region’s main industries.
He advises on disputes involving property and construction, IT, directors and shareholders, and trusts and estates, and has acted in cross-border litigation relating to maritime and intellectual property matters.
He has appeared in all New Zealand courts, as well as the Employment Relations Authority and coroners’ inquests. Brian has managed a large employment law practice for major regional employers and has also been appointed as mediator and independent investigator in employment and governance disputes.
Brian is currently the Chair of the Duncan Cotterill National Board.
MInstD
Nick is a partner co-leading Duncan Cotterill’s Nelson office litigation and dispute resolution team. He works across a broad range of matters, resolving disputes in tribunals, mediations, arbitrations and in all levels of the courts. Nick sits as a trustee and member on a number of not for profit boards in the education sector and is also a member of the Health Research Council’s Ethics Committee. He regularly encounters and deals with issues of conflicts in these forums.
Nick’s broader legal practice includes expertise in the insurance sector and has a strong focus on assisting health service providers and health professionals. Nick also has a specialist hospitality practice, advising licensees and industry participants on hearings, appeals and compliance matters before licensing authorities and in the Courts.
