Strengthen your board’s hand on its most critical responsibility. “Governance in action: Managing CEO performance and transitions” zeroes in on the board’s role, duties and legal accountabilities—from setting performance objectives that align with strategy, to running fair, defensible processes when correction or change is needed.
Charlotte Parkhill, Partner and employment law specialist from Dentons, will unpack director obligations, employment law essentials, confidentiality and privacy considerations and how to minimise dispute and reputational risk. Charlotte will be joined by Kendall Langston, CMInstD for a conversation, facilitated by IoD NZ Chief Executive, Kirsten (KP) Patterson, CMInstD.
This session translates governance principles into boardroom practice: transparent frameworks, evidence-based assessments, chair–CEO protocols, succession planning and transition pathways that meet legal standards and withstand scrutiny. Our panellists will also explore the proposal to introduce a high income threshold as part of the Employment Relations Amendment Bill, currently at Select Committee stage.

Charlotte Parkhill is a Partner at Dentons based in Auckland, specialising in providing strategic employment advice to a wide range of clients. She acts for many of New Zealand's major corporations in a range of different sectors including technology, healthcare, retail, construction, and the food sectors.
She is committed to achieving commercial outcomes to difficult employment issues through understanding her client’s business objectives and how they want to manage their people. Charlotte carries out independent investigations into employment issues and has extensive experience with assisting clients with compliance with the Holidays Act and issues that arise under the Human Rights Act.
Charlotte is the Chair of the Board for the Auckland Business Chamber and sits on the General Council of the ICC World Chambers’ Federation, which gives her valuable insight into matters affecting the New Zealand and global business sectors.

Kendall Langston is Managing Partner at Pivot & Pace, and is an experienced board chair and director having held appointments on boards such as Angus NZ, Oderings, Link Engine Management, and the Connect Group, as well as CEO roles. As both a director and strategic advisor, Kendall has helped many businesses go through leadership transitions, and effectively managing succession on boards. Kendall is a Chartered Member of the IoD and completed the Advanced Directors course.

Kirsten Patterson MNZM (known as KP) is the Chief Executive of the Institute of Directors and is a Chartered Member of the IoD. In 2025 she was awarded the New Zealand Royal Honour, Member of the New Zealand Order of Merit (MNZM) for services to governance and women. She is a qualified lawyer and a Distinguished Fellow of the Human Resources Institute of New Zealand, Chair of the Global Network of Directors Institutes (GNDI), and a member of the New Zealand External Reporting Advisory Panel (XRAP). She serves on the Boards of the mental health charity, Voices of Hope, is Chair of the Brian Picot Ethical Leadership Advisory Board at Victoria University in Wellington and an Ambassador for the Wellington Women’s Homeless Trust.
A strong advocate of diversity, KP is a member of Global Women New Zealand and was one of the founding members of Global Women’s ‘Champions for Change’, a group of senior executives and directors who commit to diversity in the workplace.
