Organisation description
A distinctive opportunity to chair a New Zealand registered bank entering an ambitious new phase of growth, transformation and renewed investment.
Bank of Baroda (New Zealand) Limited (BOBNZL) is a wholly owned subsidiary of Bank of Baroda, one of India’s largest banking groups, with an international presence across approximately 15 countries. Established in 2008 and operating in New Zealand since 2010, BOBNZL provides retail and business banking services through branches in Auckland and Wellington, supported by internet and mobile banking channels.
The Bank has a strong connection with New Zealand’s Indian diaspora, providing banking products that connect customers with India. It is also developing its SME lending and trade finance capabilities to support the growing commercial relationship between India and New Zealand.
Following a renewed commitment from its parent bank, BOBNZL has embarked on an ambitious five-year growth strategy, aiming to grow total business, supported by investment in digital banking, new lending segments, and expanded diaspora and trade-linked banking services.
The opportunity
BOBNZL is seeking an experienced and independent Chair to lead the Board through this important period of growth and transformation.
The Chair will provide strong governance leadership, maintain a constructive relationship with management, and support effective decision-making across a Board comprising independent directors, parent-nominated directors and the Managing Director.
The successful candidate will also play an important role in the Bank’s relationships with the Reserve Bank of New Zealand and Bank of Baroda’s Head Office in India.
Particular skills/competencies sought
You will bring:
- Previous experience as a Board Chair or senior Independent Director, ideally within a registered bank, non-bank deposit taker or other RBNZ- or FMA-regulated financial institution
- Strong financial acumen, including the ability to interrogate and constructively challenge financial performance, provisioning, asset quality and capital adequacy
- A sound working knowledge of New Zealand’s banking regulatory environment and directors’ duties
- Demonstrated governance leadership,
- Experience governing an organisation through growth, transformation or turnaround
- The ability to meet the relevant independence requirements, with no material relationship with the Bank of Baroda Group.
Experience working with an overseas parent organisation, particularly within an Asian or Indian context would be advantageous. An understanding of, or genuine interest in, the India–New Zealand trade, investment and diaspora relationship would also be valuable, as would experience in digital banking or technology-enabled transformation.

Commitment required
The Board ordinarily holds four scheduled meetings each year, with additional meetings convened when required. The Chair will also contribute to the Board’s Audit, Risk Management and Credit Committees, maintain regular contact with the Managing Director, and engage periodically with RBNZ and Bank of Baroda’s Head Office.
Term
The appointment is for an initial three-year term.
Geographical considerations
Candidates must reside in New Zealand and should be based in, or readily available to travel to, Auckland. In-person attendance is expected for scheduled quarterly Board meetings, with periodic travel to Wellington also required.
