IoD Standards Committee: complaints and grievance approach and decision-making

The IoD Standards Committee is established under Rule 11.13(c) of the IoD Constitution which took effect from 1 July 2022.

Unlike some statutory regulators and professional bodies, the IoD complaints process does not operate under occupation-specific legislation and membership is voluntary.

All members agree to be bound by the IoD Constitution and any binding Codes issued by Council, including the IoD Code of Practice for Directors. Members must not act in a manner that compromises, or is likely to compromise, the position of the IoD or brings, or is likely to bring the IoD into disrepute.

The Standards Committee considers complaints about the conduct of individual IoD members. It may decline to investigate where the matter does not appear to disclose material misconduct, lacks apparent evidence, or is more appropriately dealt with by another body or forum.

The Standards Committee publishes complaints that are upheld where it considers such publication is appropriate in the circumstances. In other cases, the work of the Committee will help to formulate guidance for other members on matters of governance practice (e.g. conflicts of interest). 

Decisions

    • Tilby complaint: The IoD investigated a complaint against Mr Clive Tilby, MInstD, in relation to director conduct reported in the Supreme Court judgement on Mainzeal and decided to suspend Mr Tilby’s membership for 12 months. The IoD will be making no further comment about this decision. Read the decision document here.
