Join us for breakfast with Duncan Cotterill Partner Brian Nathan MInstD and Associate Emma Kittelty on managing conflicts of interest in governance.
Conflicts of interest are everywhere. Brian and Emma will explore the critical topic of identifying and managing conflicts of interest in the context of corporate governance.
Drawing on their extensive experience, they will unpack directors’ duties under the Companies Act 1993 and the common law fiduciary obligations that underpin responsible decision-making in boardrooms across Aotearoa.
The session will cover practical strategies for recognising potential conflicts early, the importance of timely and ongoing disclosure, and the mechanisms available to manage or mitigate the risks of governing when in a conflict of interest. Using recent case examples, the presenters will illustrate how courts have approached conflicts in practice, highlighting both pitfalls and best practice.
This breakfast session is designed to equip directors, trustees and governance professionals with insights to strengthen their conflict management frameworks and maintain the integrity of their governance processes.
MInstD
Brian has significant expertise in commercial litigation and dispute resolution with a particular interest in health and safety, medico-legal and maritime issues. Leading the Nelson office litigation and dispute resolution team, he works with a wide range of clients including private individuals, SMEs, large corporates and Crown entities in the region’s main industries.
He advises on disputes involving property and construction, IT, directors and shareholders, and trusts and estates, and has acted in cross-border litigation relating to maritime and intellectual property matters.
He has appeared in all New Zealand courts, as well as the Employment Relations Authority and coroners’ inquests. Brian has managed a large employment law practice for major regional employers and has also been appointed as mediator and independent investigator in employment and governance disputes.
Brian is currently the Chair of the Duncan Cotterill National Board.
Emma specialises in litigation and dispute resolution involving commercial, health and safety, medico-legal, environmental and employment issues. Emma has recently appeared in the High Court and Court of Appeal in respect of a significant piece of litigation centred around breaches of director’s duties and conflicts of interest.
Beyond commercial litigation, Emma has a specialist relationship property practice. She advises on succession planning, asset protection, contracting out agreements, and the division of assets on separation, including company and trust-owned assets – making her well-versed in the intersection between personal relationships and corporate structures.
