Overview

How do directors navigate tough decisions when the right course of action isn’t immediately clear? In the boardroom, directors are often faced with moral dilemmas—decisions that require striking a balance between competing interests, stakeholder expectations and ethical principles. These decisions can be contentious, misinterpreted or even criticised as unethical, putting trust and reputation on the line.

In this special webinar, Prof. Dr. Mijntje Lückerath-Rovers, author of Moral Dilemmas in the Boardroom, joins us from Europe to share insights from her research and real-world experience. Drawing on the themes of her book and experience in the boardroom, she explores:

  • How moral dilemmas arise in board settings
  • The influence of values, identity and social norms on board decision making
  • Why some companies misread ethical signals—and what directors can do about it

This is a timely session for directors who want to strengthen their moral compass and reflect more deeply on how ethical challenges shape governance decisions.

Professor Dr. Mijntje Lückerath-Rovers 

Professor Dr. Mijntje Lückerath-Rovers is a professor of Corporate Governance at Tilburg University, TIAS School for Business and Society, and is an experienced supervisory board member. She studied Financial Economics at Erasmus University and worked at Rabobank International from 1994 to 2001. She obtained her PhD from Erasmus in 2007, and since then, her research has focused on the conditions of Good Corporate Governance, particularly on boardroom dynamics rather than laws and regulations.

She annually publishes the Yearbook Corporate Governance, the National Supervisory Board Survey, and the Dutch Female Board Index. She serves as a supervisory board member at Erasmus Medical Center, NRC Media, Law firm Pels Rijcken, and Rotterdam Zoo, among others. In the past, she also held this position at Achmea and the ASN Investment Funds.

Due to the importance of behavior and culture within Corporate Governance, she started a bachelor’s degree in Psychology in 2019 and graduated with a Master’s in Work and Organisational Psychology in 2022, with a study on moral judgment by supervisory board members. This led to the more practical book “Moral Dilemmas in the Boardroom,” which received numerous newspaper articles and rave reviews.

Kirsten (KP) Patterson

CMInstD

Kirsten Patterson MNZM (known as KP) is the Chief Executive of the Institute of Directors and is a Chartered Member of the IoD. In 2025 she was awarded the New Zealand Royal Honour, Member of the New Zealand Order of Merit (MNZM) for services to governance and women.  She is a qualified lawyer and a Distinguished Fellow of the Human Resources Institute of New Zealand, Chair of the Global Network of Directors Institutes (GNDI), and a member of the New Zealand External Reporting Advisory Panel (XRAP).  She serves on the Boards of the mental health charity, Voices of Hope, is Chair of the Brian Picot Ethical Leadership Advisory Board at Victoria University in Wellington and an Ambassador for the Wellington Women’s Homeless Trust. 
 
A strong advocate of diversity, KP is a member of Global Women New Zealand and was one of the founding members of Global Women’s ‘Champions for Change’, a group of senior executives and directors who commit to diversity in the workplace. KP was the founder and is Executive Sponsor for Chapter Zero New Zealand – the New Zealand Chapter of the World Economic Forum’s Climate Governance Initiative - hosted by the IoD NZ to mobilise, connect, educate and equip directors and boards to make climate-smart governance decisions, thereby creating long term value for both shareholders and stakeholders.
