Overview

Are you investing in succession? How can experienced directors contribute to developing new and emerging directors and assist shareholders to plan and effect director succession?   

An aging population highlights the need to rapidly consider and effectively put succession plans in place to replace retiring directors and current CEOs. New models of board leadership, and different expertise and capability are needed to meet the challenge of the potential risk of lost skills and knowledge gaps.   

Recognising the issue is one thing – acting on it is another. The process undertaken can greatly impact organisational culture, the ability to deliver on strategic goals and purpose, and the very sustainability of the business model. Doing it right pays significant dividends to the effectiveness of the board.   

Jackie will discuss how chairs and boards can play an active role in preparing for CEO transition - from succession planning through to appointment and induction and Mark will share experiences from various boards on different approaches taken to succession planning. The session will be facilitated by IoD board chair, Ross Buckley

Jackie Lloyd 

Jackie Lloyd BA, BCom, CFInstD, is President of the Institute of Directors and a National Council member. A life-long interest in the relationship between human behaviour and business performance led Jackie through an executive career as the global human resources director for the New Zealand Dairy Board and NZMP Fonterra, to consulting and governance.   

She is currently chair of Naylor Love Enterprises Ltd and director of CentrePort Ltd. Jackie is also Deputy Chair of the Lion Foundation and a board member of the Museum of New Zealand Te Papa Tongarewa. 

Jackie’s previous governance roles include AgResearch, Kiwi Group Holdings, NZ Post and New Zealand Cricket. 

Mark Darrow 

Mark Darrow is an experienced independent board chair and director with extensive knowledge across many sectors. 

Mark is currently chair of TSB Bank, Armstrong’s, Invivo & Co, MTF Finance, Eastside Holdings and Riverton Farms.  He is deputy chair of Auckland Transport and chair of Inland Revenue’s Risk & Assurance committee. 

Previous board roles have included Waka Kotahi (NZTA), Counties Manukau DHB, Primary ITO, The Lines Company, Leighs Construction, Sime Darby NZ, Charlies Group, Trustees Executors, MTA and VTNZ, and he served on Eke Panuku’s Audit and Risk committee.  

He is a Chartered Fellow of the Institute of Directors, a Fellow of the Chartered Accountants Australia and New Zealand and a Justice of the Peace of New Zealand. 

Ross Buckley (moderator)

Ross is Chair of the IoD Board and sits on  the Auckland Branch Committee. He  has a variety of directorships including ASB Bank, Stride Property, Investore Property and chairs the Board of Service Foods. Ross is also a member of the Massey University Council and before that role spent nine years on the Massey Business School Advisory Board.

Ross had a 38-year career with KPMG, 27 years as a Partner and has managed the firm’s Audit, Risk and Tax practices in addition to the firms’ People, Performance and Culture function. During his last nine years Ross was the Executive Chair of KPMG New Zealand and a member of KPMG’s Asia Pacific Board and KPMG’s Global Council.

Ross was brought up in the Wairarapa and attained a Bachelor of Business from Massey University. He joined KPMG in 1983 and has seen the world from many different perspectives having worked in KPMG’s Amsterdam, Toronto, International and Wellington offices before moving to Auckland in 2008.
