
Our board
The Board is the governing body of the Institute who are responsible for steering our strategy and ensuring we deliver on our purpose.
Their primary role is to set and oversee our strategic direction. This includes ensuring we are well-run, financially sound, and aligned with our mission of promoting high standards of governance and supporting directors to be effective in their roles. Our Board members bring diverse skills and perspectives to support good decision-making and strong leadership. Our board does not act at the direction of our Council.
Key responsibilities of the Board include:

- Governance oversight: Upholding high standards of governance, ethics and conduct in our operations.
- Strategic direction: Setting our goals and priorities, and monitoring progress towards them.
- Financial stewardship: Overseeing financial performance and ensuring long-term sustainability.
- Risk management: Identifying and managing strategic and operational risks.
- Stakeholder engagement: Representing the interests of our members and maintaining strong relationships with key stakeholders.
- Chief Executive support and accountability: Appointing the Chief Executive and supporting their leadership, while holding them accountable for delivering on strategy.
Board appointment process
Our Board comprises a mix of elected and appointed members. Some directors are elected by members, while others are appointed by the Board to ensure a balanced mix of experience, skills, and diversity. This combination helps maintain an effective, strategically focused Board with the right capabilities to govern the IoD. Directors are appointed for a term of up to three years and are eligible for re-appointment for additonal terms (up to a maximum of nine years in total).
The Board acts in accordance with our Constitution and is committed to leading by example in governance practice across New Zealand.
