The Court of Appeal has released its long awaited decision in proceedings brought by the liquidators of Mainzeal Property and Construction Ltd against its former directors.  It was concluded that “[t]he liquidators were the successful party in relation to liability, and have established that they are entitled to an award of compensation in respect of the directors’ breaches”.

Our panel of experts from Duncan Cotterill - Ayleath Foote, Jonathan Forsey and Paul Dorrance - will discuss this decision and its significant contribution to the law on directors’ duties and insolvency, and provide practical guidance for directors and the wider governance community on how to respond when a company enters or approaches insolvency. 

Ayleath Foote - Partner

Ayleath is a dispute resolution partner. She advises in all areas of risk, including insurance, directors’ duties and company disputes. Ayleath has acted in many high value, high profile matters and regularly presents seminars to other professionals on matters of importance in dispute resolution.

Paul Dorrance - Partner

Paul is a commercial partner who advises boards on all aspects of their governance, relationships with executive teams, and shareholder and stakeholder engagement. Paul is a director of Anchorage Trustee Services Limited, a regulated fiduciary business, as well as an independent director for off-shore interests. Paul brings a practical hands-on approach to his legal advice.

 Jonathan Forsey - Special Counsel

Jonathan is a dispute resolution special counsel who advises clients on construction contracts issues, contracting, retentions and compliance issues, insurance and regulatory matters, as well as contract and negligence issues. Jonathan is on the Board of and was appointed secretary of the Society of Construction Law New Zealand in 2018.
