Joint venture governance has different features to traditional corporate governance – what does good governance look like for a JV board?
Specific expectations and responsibilities for corporate boards and individual directors have been spotlighted in recent years, including how boards review their own performance.
How do joint venture boards ensure they have the best governance systems in place given the risks and values at stake? Stewart will discuss managing the complexity of joint venture partners in the context of his experience on the NZAS board.
Stewart Hamilton has worked in large, industrial and multinational companies for 25 years. In his current role as chief executive and general manager of New Zealand’s Aluminium Smelter (NZAS), Stew leads an operation that employs 1000 staff and contractors, to produce the world’s highest purity and lowest carbon aluminium to supply global aerospace, electronics, transport and construction industries. He has degrees in engineering (Chemical and Materials Engineering) and business administration (MBA).
Stew has led large teams in New Zealand, Australia and Tanzania in manufacturing, mining and processing facilities. These roles have required significant expertise in engaging with stakeholders across multiple disciplines and cultures to deliver positives outcomes for the people inside the organization, the owners of the business and the neighbouring communities.
Stew is a Chartered Member of the NZ Institute of Directors and is a director on the boards of the Southland Chamber of Commerce, SOREC (Southland Otago Regional Engineering Collective), the NZAS Retirement Fund and business entities associated with NZAS.
