Overview

Last year's landmark Supreme Court decision of Debut Homes Limited (in liquidation) v Cooper, and the Court of Appeal's recent Mainzeal decision, considered Directors' duties where a company is insolvent and trades on.  The decisions are relevant to all Directors of New Zealand companies.  Debut Homes represents the first time the Supreme Court has considered Directors' duties under the Companies Act in detail.   Melissa Hammer and Bryan Henderson from Anderson Lloyd look at the lessons to be learned.

Speakers

Melissa Hammer

Melissa is a Senior Associate at Anderson Lloyd in the litigation department with broad expertise having worked as both a civil litigator and Crown prosecutor. She graduated from the University of Otago in 2010 with a Bachelor of Laws (First Class Honours) and Bachelor of Arts (majoring in History) and was admitted as a Barrister and Solicitor in 2011. Melissa is recognised for her expertise in dispute resolution including recently being selected for the NZ Lawyer Rising Stars 2021 list. Melissa is on the committee for the Otago Women Lawyers’ Society.

Bryan Henderson

Bryan is a commercial lawyer with more than 30 years of experience in business structuring and unique transactions. He has expertise in less traditional business structures such as limited partnerships. He is a specialist in the tourism sector, and the fishing industry. Bryan is also a specialist in development property structures, especially in private and gated communities. This includes the residents associations, bylaws, and private infrastructure associated with them. It also includes golf courses which are part of the development. Bryan is Chairman of Fiordland Lobster Company Limited, and its subsidiary South Australian Lobster Company Pty Limited, the world’s largest exporter of Southern rock lobster.
