Overview

The NZX Corporate Governance Institute was recently established to assist NZX in delivering its corporate governance policy settings for NZX Main Board issuers. The purpose of the Institute will be to assist NZX, by delivering practical recommendations in reaction to the development of the NZX Corporate Governance Code and rule settings that apply to the corporate governance practices of issuers on the NZX Main Board. 

The Institute includes members representing a broad cross section of the market and will provide a holistic view of corporate governance practices. The Institute's establishment members currently include a cross-over member from the ASX Corporate Governance Council and members who represent institutional and retail investors, corporates, experienced board directors and academia. 

James Miller, Chair of NZX, will provide an introduction to explain why the Institute was set up and what he hopes it will achieve. This will be followed by a panel session involving two of the Institute's establishment members (NZSA CEO, Oliver Mander and Listed Companies Association Member and experienced company executive Sarah Miller) and NZX's Head of Policy and Regulatory Affairs (Kristin Brandon). 

The panel will explain the main topics it plans to look at this year, relating to director independence and executive remuneration reporting, and lead some discussion on each topic. This will also be an opportunity for directors to provide some initial feedback on these topics and hear how they will be able to participate during the review processes.

Speakers

James Miller CFInstD

James was appointed as a director in August 2010, and NZX Chair in May 2015. He has spent 14 years working in the sharebroking industry, with Craigs Investment Partners, ABN AMRO, Barclays de Zoete Wedd and ANZ Securities.

He is a qualified chartered accountant and is a Fellow of the New Zealand Institute of Chartered Accountants, a Certified Securities Analyst Professional, and a Chartered Fellow of the Institute of Directors in New Zealand.

James is a director of Mercury NZ, New Zealand Refining Company and Vista Group. He retired as deputy chair of ACC on 31 December 2021, and is a former director of Auckland International Airport and Vector. He was an inaugural director of the Financial Markets Authority, and previously a member of the ABN AMRO Securities, INFINZ and Financial Reporting Standards Boards.

Kristin Brandon

Kristin joined NZX in 2007 and is responsible for leading the development of NZX’s market rules, and managing NZX’s regulatory relationships.

Kristin has extensive experience in financial services law, having previously worked in legal roles in corporate and commercial, and financial services teams at DLA Piper and Chapman Tripp in New Zealand, and Dechert LLP in London. Kristin holds an LLB(Hons) and BCA (accounting major) from Victoria University in Wellington.

Oliver Mander MInstD

Oliver has had a long corporate career with BP Group PLC as well as corporate roles in Chorus and Wellington Water. He has also written regular columns for the NZ Herald.

He joined New Zealand Shareholders Assn as Chief Executive in late 2020 with the aim of delivering improvements to New Zealand’s corporate governance and disclosure standards. Oliver is proud to be joining the inaugural Corporate Governance Institute.

Sarah Miller MInstD

Sarah Miller is General Counsel and Company Secretary at Serko Limited. She is also a member of the New Zealand Markets Disciplinary Tribunal and an Executive Member (and former Chair) of the Listed Companies Association. Her previous experience includes being General Counsel Corporate and Group Company Secretary at Telecom New Zealand and a Member of the Regulatory Taskforce of Capital Markets 2029. Sarah was also Director and Principal at Black Letter Consulting, which provided specialist governance and investor relations advisory services to NZX/ASX listed companies.
