Shareholders, regulators and other stakeholders are paying close attention to the degree of care, integrity, loyalty and skill that directors bring to bear in the governance of their organisations. Remuneration for non-executive directors needs to be set at the right level to attract, motivate and retain men and women having the high standards of ability and character necessary to carry out critical and demanding functions.
The IoD provides analysis and advice to help organisations set remuneration policy. The IoD also provide an independent evaluation of director remuneration levels taking into account a wide range of information including:
- The general level of hourly or daily rates earned by other equivalent professionals.
- The number of formal board meetings that the directors are involved in and the time commitment required.
- The level of fees paid by a comparable group of New Zealand companies.
- The levels and increases in board remuneration over recent years as shown by the IoD's research data.
